These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and WinDash ("WinDash," "we," "our," or "us") governing your access to and use of the WinDash platform, website (www.windash.com), and all related services (collectively, the "Services").
By creating an account, purchasing a subscription, purchasing a one-time auction pass, participating in any auction, or otherwise accessing our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.
To use WinDash, you must:
WinDash reserves the right to verify your identity and age at any time. Providing false information during registration is a material breach of these Terms and may result in immediate account termination.
To participate in auctions, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:
WinDash is not liable for any loss or damage arising from unauthorized account access resulting from your failure to comply with these security obligations.
Each user is permitted one (1) account only. Creating multiple accounts to gain additional bids, circumvent ranking requirements, take advantage of first-time user promotions, or for any other reason is strictly prohibited and will result in permanent termination of all associated accounts and forfeiture of all balances.
WinDash operates a proprietary auction model. Understanding the mechanics is your responsibility as a participant. A summary is provided below, but please also refer to our How It Works page on the website.
Users may purchase one of three monthly subscription plans to receive a monthly bid allocation:
Unused subscription bids that were not spent on auction enrolment fees or in-auction bidding are returned to the user's balance after each auction concludes.
Monthly Bid Rollover: At the end of each billing cycle, any bids remaining in your balance partially roll over to the next month based on your plan:
Rolled-over bids are added to your new monthly allocation at the start of the next billing cycle. Bids that do not roll over expire at end of cycle. Rollover bids do not accumulate indefinitely — only the rollover percentage of your end-of-cycle balance carries forward each month.
When a subscriber has exhausted all subscription bids for the current billing cycle, they may purchase one Bid Booster Package per billing cycle to receive additional bids:

One-time auction passes are available exclusively to two groups of users:
One-time passes are deliberately not visible to any subscriber who still has subscription bids or Booster bids remaining in their balance. This is a platform design decision to keep the bidding ecosystem fair and encourage full use of subscription allocations before supplementing with passes.
A one-time pass grants the purchaser entry into one specific auction and 25 in-auction bids for that auction only. Unused bids from a one-time pass expire immediately and permanently when that auction ends — they are not returned to any balance, carried forward, or refunded.
For pool-based auctions, one-time pass enrollment — like all enrollment — closes when 1 hour remains on the 24-hour countdown. One-time passes cannot be purchased for an auction once enrollment has closed.
Subscribers who have exhausted their subscription bids and Bid Booster for the current cycle may upgrade to a higher-tier plan at any time. The upgrade path is as follows:
Upon upgrading, the following takes effect immediately:
Plan downgrades (e.g. Pro to Starter) may be selected at any time through account settings but take effect only at the start of the next billing cycle. No refund is issued for the difference when downgrading mid-cycle.
To participate in an auction, enrolled users must pay an enrolment fee in bids. By paying the enrolment fee:
No late entries are permitted once an auction has started. Rank-based discounts apply to enrolment fees as follows: Captain (10%), Major (20%), Colonel (30%), General (40%).
For auctions with items valued over $100, the following six-step sequence governs when and how an auction begins:
For the avoidance of doubt, an auction is considered started for all purposes under these Terms — including refund eligibility and bid expenditure — from the moment the first bid is placed after the 24-hour countdown expires. The countdown reaching zero alone does not constitute the auction having started.
WinDash will notify all enrolled participants when the 24-hour countdown reaches zero and the auction enters Active-Pending state, so all participants are aware the auction is ready to activate at any moment.
Once the opening bid has been placed and the auction is active, the following rules govern all bidding:
For items valued under $100, auctions operate on a fixed-timer model rather than a pool-filling model. This design provides platform liquidity during the early growth phase and gives all users — including new users — accessible entry points. The rules are:
Fixed-timer auctions do not require a bid pool to be filled before starting. They begin at their scheduled start time regardless of the number of enrolled participants. Enrollment opens when the auction is listed and closes 1 hour before the scheduled start time.
Once a fixed-timer auction begins, the same in-auction mechanics apply as pool-based auctions: each bid resets the timer to 10 seconds, each bid raises the price by $0.01, and the last person to bid before the timer reaches zero wins. However, unlike pool-based auctions, the initial timer for fixed-timer auctions does not require an opening bid to activate — the 10-second timer begins from the moment the auction starts.
Note: Fixed-timer auctions under $100 are intentionally designed to ensure consistent auction activity across the platform at all stages of growth, providing new users with frequent opportunities to participate and experience the platform before engaging in higher-value pool-based auctions.
The winner of an auction is the last user to place a bid before the timer expires. Winners must complete payment of the final auction price within the time window specified in their win notification to claim their item. WinDash reserves the right to re-auction items if payment is not completed within the specified window.
WinDash features a progressive ranking system that unlocks access to higher-value auctions and provides increasing enrolment fee discounts. Rankings and their associated privileges are:

WinDash reserves the right to adjust star thresholds, rank benefits, and task rewards at any time with reasonable notice to users. Ranking status does not affect eligibility to purchase Bid Boosters or one-time passes.
You agree not to:
Violation of any of the above may result in immediate account suspension or permanent termination, forfeiture of bid balances and ranking, and potential legal action.
All content on the WinDash platform, including but not limited to the auction model design, software, user interface, text, graphics, logos, and trademarks, is the exclusive property of WinDash and is protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes only. You may not copy, reproduce, modify, distribute, or create derivative works from any WinDash content without our prior written consent.
By providing payment information, you authorize WinDash to charge the applicable fees to your payment method. All charges are in USD unless otherwise stated.
You are responsible for all applicable taxes in your jurisdiction. WinDash will charge sales tax where legally required.
WinDash provides the platform on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, error-free, or available at all times. Planned or emergency maintenance may temporarily affect auction availability. WinDash will make reasonable efforts to notify users of planned downtime in advance.
WinDash does not guarantee that you will win any auction. Auction outcomes depend entirely on participant behavior and timing. The per-auction bid allocations are designed to ensure fairness, but WinDash makes no representation that any particular user will win.
To the fullest extent permitted by applicable law, WinDash shall not be liable for:
WinDash's total liability to you for any claim arising out of or related to the Services shall not exceed the total amount you paid to WinDash in the 12 months preceding the claim.
You agree to indemnify and hold harmless WinDash, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
WinDash reserves the right to suspend or terminate your account at any time, with or without notice, for:
Upon termination, your access to the Services will cease and any unused bid balances may be forfeited. If your account is terminated due to our error, we will refund your unused paid bid balance on a pro-rated basis.
You may close your account at any time by contacting support@windash.com.

In the event of a dispute, you agree to first attempt to resolve the matter informally by contacting us at legal@windash.com. YOU AGREE THAT ANY DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.
WinDash reserves the right to modify these Terms at any time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and may close your account.
