1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and WinDash ("WinDash," "we," "our," or "us") governing your access to and use of the WinDash platform, website (www.windash.com), and all related services (collectively, the "Services").

By creating an account, purchasing a subscription, purchasing a one-time auction pass, participating in any auction, or otherwise accessing our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

2. Eligibility

To use WinDash, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract in your jurisdiction
  • Not be a resident of any jurisdiction where participation in online auction platforms of this nature is prohibited by law
  • Not have been previously suspended or banned from WinDash

WinDash reserves the right to verify your identity and age at any time. Providing false information during registration is a material breach of these Terms and may result in immediate account termination.

3. Account Registration

3.1 Account Creation

To participate in auctions, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:

  • Use a strong, unique password
  • Not share your account credentials with any third party
  • Notify us immediately at support@windash.com if you suspect unauthorized access to your account

WinDash is not liable for any loss or damage arising from unauthorized account access resulting from your failure to comply with these security obligations.

3.3 One Account Per Person

Each user is permitted one (1) account only. Creating multiple accounts to gain additional bids, circumvent ranking requirements, take advantage of first-time user promotions, or for any other reason is strictly prohibited and will result in permanent termination of all associated accounts and forfeiture of all balances.

4. How WinDash Auctions Work

WinDash operates a proprietary auction model. Understanding the mechanics is your responsibility as a participant. A summary is provided below, but please also refer to our How It Works page on the website.

4.1 Subscription Plans and Bid Balances

Users may purchase one of three monthly subscription plans to receive a monthly bid allocation:

  • Starter Plan: $19/month – 146 bids per month
  • Pro Plan: $49/month – 386 bids per month
  • Power Plan: $89/month – approximately 700 bids per month

Unused subscription bids that were not spent on auction enrolment fees or in-auction bidding are returned to the user's balance after each auction concludes.

Monthly Bid Rollover: At the end of each billing cycle, any bids remaining in your balance partially roll over to the next month based on your plan:

  • Starter Plan: 30% of remaining bids roll over
  • Pro Plan: 40% of remaining bids roll over
  • Power Plan: 70% of remaining bids roll over

Rolled-over bids are added to your new monthly allocation at the start of the next billing cycle. Bids that do not roll over expire at end of cycle. Rollover bids do not accumulate indefinitely — only the rollover percentage of your end-of-cycle balance carries forward each month.

4.2 Bid Booster Packages

When a subscriber has exhausted all subscription bids for the current billing cycle, they may purchase one Bid Booster Package per billing cycle to receive additional bids:

  • Starter Booster: $15 — 100 additional bids
  • Pro Booster: $25 — 150 additional bids
  • Power Booster: $45 — 300 additional bids

Bid Boosters are subject to the following rules:

  • Only one Booster may be purchased per billing cycle
  • The Booster tier corresponds to the subscriber's active plan at the time of purchase
  • If a subscriber upgrades their plan mid-cycle (see Section 4.4), their billing cycle resets and they become eligible to purchase a Booster under their new plan, even if they already purchased a Booster under their previous plan in the same calendar month
  • Unused Booster bids at end of cycle are subject to the same rollover rules as subscription bids (Starter 30%, Pro 40%, Power 70%)
  • Booster bids are non-refundable once any bids from the package have been used

4.3 One-Time Auction Passes

One-time auction passes are available exclusively to two groups of users:

  • Newly registered users who do not hold an active subscription. The one-time pass option is visible to these users as an alternative entry method without committing to a monthly plan
  • Active subscribers who have fully exhausted both their subscription bid allocation AND their Bid Booster package (if purchased) for the current billing cycle. The one-time pass option becomes visible to these users and remains available until their subscription renewal date

One-time passes are deliberately not visible to any subscriber who still has subscription bids or Booster bids remaining in their balance. This is a platform design decision to keep the bidding ecosystem fair and encourage full use of subscription allocations before supplementing with passes.

A one-time pass grants the purchaser entry into one specific auction and 25 in-auction bids for that auction only. Unused bids from a one-time pass expire immediately and permanently when that auction ends — they are not returned to any balance, carried forward, or refunded.

For pool-based auctions, one-time pass enrollment — like all enrollment — closes when 1 hour remains on the 24-hour countdown. One-time passes cannot be purchased for an auction once enrollment has closed.

4.4 Mid-Cycle Plan Upgrade

Subscribers who have exhausted their subscription bids and Bid Booster for the current cycle may upgrade to a higher-tier plan at any time. The upgrade path is as follows:

  • Starter subscribers may upgrade to either Pro or Power
  • Pro subscribers may upgrade to Power
  • Power subscribers are at the highest tier and cannot upgrade further. Once Power bids and Booster bids are exhausted, Power subscribers may either purchase one-time auction passes or wait for their subscription to renew

Upon upgrading, the following takes effect immediately:

  • The full bid allocation of the new plan is credited to the subscriber's balance at once (e.g. upgrading from Starter to Pro credits 386 bids immediately, not just the difference)
  • The subscriber's billing cycle resets from the date of upgrade. A new 30-day billing period begins and the new plan's full monthly fee is charged immediately
  • The subscriber becomes eligible to purchase one Bid Booster under their new plan within this new billing cycle, regardless of whether they purchased a Booster under their previous plan
  • The new plan's rollover rate applies at the end of this new billing cycle (Pro: 40%, Power: 70%)

Plan downgrades (e.g. Pro to Starter) may be selected at any time through account settings but take effect only at the start of the next billing cycle. No refund is issued for the difference when downgrading mid-cycle.

4.5 Auction Enrolment

To participate in an auction, enrolled users must pay an enrolment fee in bids. By paying the enrolment fee:

  • You secure your spot in the auction
  • Your name is added to the confirmed participant list
  • You will not be able to participate if you have not enrolled before the auction begins

No late entries are permitted once an auction has started. Rank-based discounts apply to enrolment fees as follows: Captain (10%), Major (20%), Colonel (30%), General (40%).

4.6 Pool Requirement, Enrollment Window, and Auction Start

For auctions with items valued over $100, the following six-step sequence governs when and how an auction begins:

  • Step 1 — Pool fills: The auction bid pool must reach its minimum bid threshold before any countdown begins. Until the pool is filled, enrollment remains open and no timer is active
  • Step 2 — Countdown begins: Once the pool minimum is reached, all enrolled users are notified immediately and a 24-hour countdown begins
  • Step 3 — Enrollment remains open during countdown: Additional users may continue to enroll and pay their enrollment fee throughout the 24-hour countdown period, causing the pool to overfill beyond its minimum threshold. All enrollment fees from these additional participants count as revenue and are non-refundable once the countdown has started
  • Step 4 — Enrollment closes at 1 hour remaining: When the countdown reaches the 1-hour mark, enrollment is permanently closed for that auction. No new participants may join after this point under any circumstances
  • Step 5 — Active-Pending state: When the countdown reaches zero, the auction enters an Active-Pending state. The auction is live and open, but the internal 10-second bidding timer does NOT start automatically. The auction remains in this dormant state until a participant acts
  • Step 6 — Auction activates on first bid: The moment any enrolled participant voluntarily places the opening bid, the 10-second countdown timer starts and all standard in-auction mechanics apply from that point forward. The auction will not activate without this opening bid

For the avoidance of doubt, an auction is considered started for all purposes under these Terms — including refund eligibility and bid expenditure — from the moment the first bid is placed after the 24-hour countdown expires. The countdown reaching zero alone does not constitute the auction having started.

WinDash will notify all enrolled participants when the 24-hour countdown reaches zero and the auction enters Active-Pending state, so all participants are aware the auction is ready to activate at any moment.

4.7 In-Auction Mechanics

Once the opening bid has been placed and the auction is active, the following rules govern all bidding:

  • All participants receive a fixed number of in-auction bids: Starter subscribers and one-time pass holders receive 25 bids; Pro subscribers receive 26 bids; Power subscribers receive 27 bids
  • The small difference in per-auction bid allocation (1-2 bids) is designed to preserve anonymity of subscription tiers among participants
  • Each bid placed by any participant increases the item's price by $0.01
  • Each bid resets the auction countdown timer to 10 seconds
  • The last user to place a bid before the timer reaches zero wins the auction
  • Participants who run out of bids before the auction ends are eliminated from bidding but the auction continues among remaining participants

4.8 Fixed-Timer Auctions (Items Under $100)

For items valued under $100, auctions operate on a fixed-timer model rather than a pool-filling model. This design provides platform liquidity during the early growth phase and gives all users — including new users — accessible entry points. The rules are:

  • Items valued $10–$50: 24-hour fixed auction window
  • Items valued $50–$100: 36-hour fixed auction window

Fixed-timer auctions do not require a bid pool to be filled before starting. They begin at their scheduled start time regardless of the number of enrolled participants. Enrollment opens when the auction is listed and closes 1 hour before the scheduled start time.

Once a fixed-timer auction begins, the same in-auction mechanics apply as pool-based auctions: each bid resets the timer to 10 seconds, each bid raises the price by $0.01, and the last person to bid before the timer reaches zero wins. However, unlike pool-based auctions, the initial timer for fixed-timer auctions does not require an opening bid to activate — the 10-second timer begins from the moment the auction starts.

Note: Fixed-timer auctions under $100 are intentionally designed to ensure consistent auction activity across the platform at all stages of growth, providing new users with frequent opportunities to participate and experience the platform before engaging in higher-value pool-based auctions.

4.9 Winning an Auction

The winner of an auction is the last user to place a bid before the timer expires. Winners must complete payment of the final auction price within the time window specified in their win notification to claim their item. WinDash reserves the right to re-auction items if payment is not completed within the specified window.

5. Ranking System

WinDash features a progressive ranking system that unlocks access to higher-value auctions and provides increasing enrolment fee discounts. Rankings and their associated privileges are:

  • Soldier (default): Access to auctions up to $500 item value
  • Sergeant: Access to auctions up to $1,500 item value; increased star earn rate
  • Captain: Access to auctions up to $3,000; 10% enrolment discount; increased star earn rate
  • Major: Access to auctions up to $5,000; 20% enrolment discount; increased star earn rate
  • Colonel: Access to auctions up to $8,000; 30% enrolment discount; increased star earn rate
  • General: No auction value limit; 40% enrolment discount; maximum star earn rate

Stars are earned through the following activities:

  • Placing bids in auctions
  • Enrolling in auctions
  • Monthly subscription renewal
  • Completing tasks such as: referring new users (100 stars + 100 bids), following WinDash social media pages (50 stars), submitting a photo review (50 stars), and submitting a video review (100 stars)

WinDash reserves the right to adjust star thresholds, rank benefits, and task rewards at any time with reasonable notice to users. Ranking status does not affect eligibility to purchase Bid Boosters or one-time passes.

6. Prohibited Conduct

You agree not to:

  • Create multiple accounts or use another person's account
  • Use bots, automated scripts, or any software to interact with the platform or place bids
  • Collude with other users to manipulate auction outcomes
  • Exploit bugs or technical errors to gain an unfair advantage
  • Engage in any activity that disrupts or interferes with the platform's operation
  • Attempt to reverse-engineer, copy, or replicate WinDash's auction mechanics or platform
  • Engage in fraud, misrepresentation, or any deceptive practice in connection with the Services
  • Use the platform for money laundering or any illegal financial activity
  • Violate any applicable law or regulation

Violation of any of the above may result in immediate account suspension or permanent termination, forfeiture of bid balances and ranking, and potential legal action.

7. Intellectual Property

All content on the WinDash platform, including but not limited to the auction model design, software, user interface, text, graphics, logos, and trademarks, is the exclusive property of WinDash and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes only. You may not copy, reproduce, modify, distribute, or create derivative works from any WinDash content without our prior written consent.

8. Payments and Billing

By providing payment information, you authorize WinDash to charge the applicable fees to your payment method. All charges are in USD unless otherwise stated.

  • Subscription fees are charged at the start of each billing cycle and auto-renew monthly
  • One-time pass fees are charged at the time of purchase
  • Item purchase fees (for auction wins) are charged when you confirm your intent to purchase a won item

You are responsible for all applicable taxes in your jurisdiction. WinDash will charge sales tax where legally required.

9. Disclaimers and Limitation of Liability

9.1 Service Availability

WinDash provides the platform on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, error-free, or available at all times. Planned or emergency maintenance may temporarily affect auction availability. WinDash will make reasonable efforts to notify users of planned downtime in advance.

9.2 Auction Outcomes

WinDash does not guarantee that you will win any auction. Auction outcomes depend entirely on participant behavior and timing. The per-auction bid allocations are designed to ensure fairness, but WinDash makes no representation that any particular user will win.

9.3 Limitation of Liability

To the fullest extent permitted by applicable law, WinDash shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of bids, revenue, or profits resulting from platform downtime or technical issues
  • Unauthorized access to your account due to your failure to maintain account security
  • Any loss arising from your reliance on information provided on the platform

WinDash's total liability to you for any claim arising out of or related to the Services shall not exceed the total amount you paid to WinDash in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless WinDash, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

WinDash reserves the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Conduct that is harmful to other users or the platform
  • Extended account inactivity

Upon termination, your access to the Services will cease and any unused bid balances may be forfeited. If your account is terminated due to our error, we will refund your unused paid bid balance on a pro-rated basis.

You may close your account at any time by contacting support@windash.com.

12. Governing Law and Dispute Resolution

In the event of a dispute, you agree to first attempt to resolve the matter informally by contacting us at legal@windash.com. YOU AGREE THAT ANY DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.

13. Changes to These Terms

WinDash reserves the right to modify these Terms at any time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and may close your account.

14. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and WinDash regarding the Services
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right
  • Assignment: You may not assign your rights or obligations under these Terms without our consent. We may assign our rights freely
